Turing Strengthens Governance with New Management Structure, Appointing Outside Directors and Corporate Auditors
Turing Inc. (Ota-ku, Tokyo; CEO: Issei Yamamoto; “Turing”) today announced a transition to a new management structure designed to strengthen its corporate governance. This transition includes the appointment of new Directors, Outside Directors, and Corporate Auditors, alongside the formal introduction of an Executive Officer system.
Background of the Transition
Turing is accelerating both technological development and the expansion of its business foundation to realize Japan-originated fully autonomous driving. As the company’s development framework and organizational scale grow, Turing has restructured its governance by establishing a Board of Directors and introducing an Executive Officer system. This transition is intended to further solidify the management foundation necessary to support sustainable, long-term growth.
Through these changes, Turing will more clearly separate management decision-making and oversight from operational execution, thereby enhancing organizational transparency and ensuring robust internal controls. Furthermore, the new structure—comprising Directors, Outside Directors, and Corporate Auditors—will provide stakeholders, including investors, financial institutions, and audit firms, with greater visibility into the company’s governance framework.
Key Elements of the New Management Structure
Establishment of the Board of Directors
The Board of Directors is positioned as the primary body for determining fundamental management policies and supervising business execution. By welcoming Outside Directors in conjunction with the Board’s establishment, Turing aims to ensure highly objective and effective oversight.
Appointment of Corporate Auditors
Turing has newly appointed Corporate Auditors to strengthen its auditing framework. By incorporating specialized expertise in finance, accounting, and corporate management, the company will enhance the independence and effectiveness of its audit functions.
Introduction of the Executive Officer System
The introduction of the Executive Officer system clearly delineates management oversight from day-to-day operational execution. This system is designed to strengthen governance while providing clearer criteria for appointments, ensuring flexibility in compensation design, and enhancing the company’s credibility among external stakeholders.
